Who We Are
zyntique.ai is a strategic consultancy that helps businesses achieve sustainable growth by aligning marketing with corporate objectives and embedding AI into tactical processes. With nearly 30 years of marketing expertise, we focus on delivering strategies that are structured, evidence-led, and future-ready. Our work centres on two pillars:
 

• Strategic Consultancy: developing marketing strategies that fit seamlessly within wider corporate planning and provide leaders with clarity, confidence, and direction.

• AI Integration: embedding AI into marketing processes and tactical execution to improve efficiency, sharpen decision-making, and create sustainable competitive advantage.

Definitions

• Client – Any individual, business, or representative engaging zyntique.ai for services.

• Proposal – A written outline of agreed work including scope, pricing, deliverables, and timelines.

• Contract – The agreement made once a Proposal is accepted and confirmed by zyntique.ai.

• Fee – The total amount payable for services as outlined in the Proposal.

• Services – Includes strategic consultancy and/or AI integration, as agreed.

• Payment – Accepted via BACS or bank transfer, unless otherwise specified.

• Delivery Period – The estimated timeframe for completion of the agreed Services.

• Days – Refers to calendar days unless stated otherwise.
   

These Terms form the entire agreement between you and zyntique.ai and override all previous discussions or documents unless amended in writing.

Engagement
A Contract begins once a Proposal is accepted and payment is received (in full or as staged, if agreed in writing).
Either party may end the Contract with one month’s written notice for ongoing engagements. For project-based work, cancellation after acceptance may incur the full fee unless a trial or staged exit has been agreed.
 
We reserve the right to refuse or terminate services if content is unethical, defamatory, in breach of law, or contrary to our values.

Client Responsibilities
The Client agrees to:
 

• Provide clear and timely information.

• Respond to requests, approvals, and feedback without delay.

• Ensure any assets provided (logos, images, etc.) are either owned by them or licensed for use.

• Obtain all necessary permissions and releases for materials supplied.

Delays caused by the Client may affect delivery timeframes and will not be the responsibility of zyntique.ai.

The Work
zyntique.ai provides strategic consultancy and AI integration services designed to align marketing with corporate objectives and improve tactical efficiency. Our work is built on evidence-led frameworks, informed by nearly three decades of marketing expertise, and enhanced by the purposeful use of AI.
 
We may recommend or support the implementation of third-party AI tools, but all strategic outputs and recommendations remain the responsibility of zyntique.ai. While we ensure strategies are structured, future-ready, and aligned with best practice, we do not guarantee performance on platforms or systems outside of our control.

Payment Terms
We operate on a high-trust, partnership model, which means we ask for full payment upfront before any work begins, unless otherwise agreed in writing.
 

• For consultancy retainers, we operate on a three-month minimum term, with each month payable in full and in advance.

• For project-based consultancy or AI integration work, 100% of the agreed fee is payable upfront to secure delivery.

• For larger or staged projects, a bespoke payment plan may be agreed in writing.

• For corporate or public sector clients, 30-day payment terms may be offered upon written approval.
   

Timelines
All timelines are estimates and depend on Client responsiveness. Delays in approvals, asset supply, or decision-making will extend delivery timelines. If a fixed deadline is required, it must be stated and agreed in writing.
 
zyntique.ai is not liable for missed deadlines due to factors outside our control.

Liability

• zyntique.ai shall not be held liable for delays, failure, or disruption caused by events beyond our control (such as natural disasters, pandemics, utility failures, illness, or third-party outages).

• Our liability for any claim related to our services will not exceed the total Fee paid by the Client.

• We are not responsible for indirect or consequential losses, including loss of profit, business interruption, reputational harm, or third-party claims.

• The Client assumes full responsibility for how their team engages with the AI tools we may integrate.

• zyntique.ai is not liable for the output of these tools, or any consequences arising from their use.

• The Client is solely responsible for ensuring data protection compliance and security of any third-party apps or services connected.

We do not limit our liability for death or injury caused by negligence, or for fraud or fraudulent misrepresentation.

Intellectual Property
All strategic frameworks, reports, recommendations, and AI integration plans remain the property of zyntique.ai until full payment has been received or alternative terms have been agreed in writing.
 
Once payment is made in full, the Client receives the right to use the final consultancy outputs internally for their business purposes, as outlined in the agreed scope of work.
Strategic documents, frameworks, or AI integration plans may not be resold, redistributed, or repurposed beyond the agreed scope without our written consent. Any use outside of this agreement may result in additional fees or legal action.
 
Where AI-generated elements are provided as part of the consultancy, they are intended solely for the Client’s use within the agreed project scope. Repurposing, reselling, or redistributing these outputs without written consent may incur further charges or legal action.

Confidentiality
Both parties agree to keep all sensitive and proprietary information confidential. We may refer to the fact we’ve worked with you (unless you tell us not to), but we won’t disclose project details without consent.

Data Protection
We process personal data in accordance with UK GDPR and our Privacy Policy. The Client is responsible for complying with data laws when sharing information with us or collecting data from users.
 
For AI tools that process data, we ensure all tools used are privacy-compliant and secure.

Complaints
We aim to resolve any issues quickly and fairly. If you’re unhappy with any aspect of our service, please raise it in writing within 14 days of receiving the final work rendered.
We’ll review it promptly and aim to respond with a resolution within 7 working days.

Severance
If any part of these Terms is found to be unenforceable or invalid, the rest remains in full effect.

Waiver
Failure to enforce any part of these Terms does not constitute a waiver of that right.

Transfer of Rights
The Client may not assign or transfer any rights under this Contract to a third party without written permission from zyntique.ai.

Governing Law
These Terms and all Contracts with zyntique.ai are governed by the laws of England and Wales.
